Applicability
These general terms and conditions apply to all current and future assignments provided by the client to Boat Register San Marino.
These terms and conditions are irrevocably enforceable by the partners, employees, and third parties engaged by Boat Register San Marino.
Unless otherwise agreed in writing, these terms and conditions remain applicable. Any general terms and conditions of the client are expressly rejected.
Assignment
- 1. Boat Register San Marino provides its services exclusively for the client; third parties cannot derive any rights from these services.
- 2. Boat Register San Marino has the right to engage third parties in the execution of the contract. Wherever possible, third-party involvement will be done in consultation with the client.
- 3. If necessary, Boat Register San Marino may accept third-party liability limitations when engaging external service providers.
- 4. The client indemnifies Boat Register San Marino against any damages or claims from third parties arising from the services rendered, including legal defense costs.
Services
Boat Register San Marino provides registration services for boats and yachts in various jurisdictions worldwide, in compliance with the relevant country’s legal regulations. These services include:
- Registration of vessels in the client’s preferred jurisdiction.
- Establishment of legal entities where required for vessel registration.
- Assistance in obtaining and maintaining radio licenses, if applicable.
If Boat Register San Marino has an office address in a country where vessel registration or a radio license requires a local address, the client is allowed to use it only for vessel registration purposes. The client is strictly prohibited from using the address for any other business or personal purposes.
Boat Register San Marino does not provide accounting, tax-related services, or legal advisory regarding the registered vessels or related legal entities.
Client Obligations
- 1. The client must purchase the complete service package offered by Boat Register San Marino for the chosen country of registration or radio licensing.
- 2. The client must timely submit all required documents to facilitate the registration process efficiently.
- 3. The client must pay all invoices on time by transferring the full amount to the designated bank account of Boat Register San Marino.
- 4. Any invoice disputes must be raised within 14 days from the invoice date, after which the right to dispute is forfeited.
- 5. The client is not entitled to delay payments, withhold payments, or offset payments against any claims.
- 6. Boat Register San Marino reserves the right to charge statutory interest and collection costs on overdue payments and may suspend services until payment is received.
- 7. All prices are subject to change, and Boat Register San Marino reserves the right to update pricing as necessary.
Limitation of Liability
1. Boat Register San Marino is not liable for any consequences arising from:
- The client’s failure to provide accurate and timely documents.
- Non-payment or delayed payment of fees, taxes, or periodic costs related to vessel registration.
- Changes in laws or regulations that affect vessel registration or radio licensing.
- Any fines, penalties, or extra costs due to the client's non-compliance with tax or legal obligations.
2. Boat Register San Marino’s liability is limited to direct damages only. It does not cover any indirect or consequential damages, including loss of profit or financial losses.
3. Any liability is capped at:
- The total amount invoiced for the specific service provided.
- The maximum amount covered by Boat Register San Marino’s insurance policy, whichever is lower.
4. The right to claim compensation expires 6 months after the client becomes aware (or should have been aware) of the damage or liability issue.
By using the services of Boat Register San Marino, the client agrees to these terms and conditions in full.
